Terms of Service

Welcome to Hakira. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and HAKIRA LIMITED LIABILITY COMPANY ("HAKIRA", "we", "us", or "our"). By accessing or using our website at hakira.io (the "Website"), the Hakira platform, Hakira AI agent, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Overview of Services

Hakira provides AI-powered cybersecurity services, including but not limited to:

  • Automated security assessments and code reviews via Hakira AI agents
  • Smart contract vulnerability assessments and blockchain security audits
  • Application and network penetration testing
  • AI/ML security audits and LLM security reviews
  • Security consultancy and advisory services
  • CI/CD security integration and automated scanning

The specific scope, deliverables, and pricing of Services are as described on our Website or in a separate engagement agreement between you and Hakira.

2. Beta Services

Certain features of the Hakira platform, including the Hakira AI agent and related tools, may be designated as beta, early access, or preview ("Beta Services"). By using Beta Services, you acknowledge and agree that:

  • Beta Services are provided on an "as is" and "as available" basis and may contain bugs, errors, or inaccuracies
  • Beta Services may be modified, suspended, or discontinued at any time without prior notice
  • Beta Services are not subject to any service level agreements (SLAs) or uptime guarantees
  • Data processed during beta periods may be subject to different retention policies
  • Hakira reserves the right to reset, migrate, or delete data associated with Beta Services

3. Account Registration & Security

To access certain features of the Services, you may be required to create an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and not share them with third parties
  • Immediately notify Hakira of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

Hakira reserves the right to suspend or terminate your account if any information provided is inaccurate, misleading, or in violation of these Terms.

4. Acceptable Use

You agree to use the Services only for lawful purposes. You must not:

  • Use the Services to assess, scan, test, or attack systems, networks, or applications that you do not own or have explicit written authorization to test
  • Attempt to use the Services to develop malware, exploits, or tools intended for unauthorized access to third-party systems
  • Use the Services to conduct denial-of-service attacks, spam, or other abusive activities
  • Attempt to circumvent, disable, or interfere with security features of the platform, including prompt safety guards
  • Reverse-engineer, decompile, or disassemble any part of the Services except as permitted by applicable law
  • Share, redistribute, or sublicense access to the Services without Hakira's written consent
  • Upload or submit content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Use the Services in any manner that could damage, disable, or impair Hakira's infrastructure

Violation of this section may result in immediate termination of your account and access to the Services, and may be reported to law enforcement authorities.

5. Credits, Billing & Payment

Hakira operates on a credit-based billing model. By purchasing credits or subscribing to a plan, you agree to the following:

Credits

  • Credits are pre-purchased and deducted based on actual usage during assessments
  • Usage-based credits expire 90 days after purchase unless otherwise specified
  • Credits are non-transferable and non-refundable unless required by applicable law
  • Cost estimates provided before assessments are approximations; actual charges are based on computational resources consumed

Subscriptions

  • Subscription plans renew automatically at the end of each billing period unless cancelled
  • Unused credits included in subscription plans may roll over for one billing period
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Hakira reserves the right to modify pricing with 30 days' notice to active subscribers

Refunds

Refunds are handled on a case-by-case basis. If you believe you were incorrectly charged or experienced a service failure, please contact us. Hakira is not obligated to provide refunds for completed assessments, even if findings were not what was expected.

6. Workspaces & User Content

When using the Hakira platform, you may upload source code, provide repository access, or submit URLs and other materials ("User Content") for security assessment. You represent and warrant that:

  • You own the User Content or have obtained all necessary rights, licenses, and permissions to submit it for security assessment
  • Your User Content does not infringe upon the intellectual property or other rights of any third party
  • You have the authority to grant Hakira the limited license described below

You retain all ownership rights in your User Content. By submitting User Content, you grant Hakira a limited, non-exclusive, non-transferable license to access, process, and analyze your User Content solely for the purpose of providing the Services. Hakira will not use your User Content for any other purpose, including training AI models, without your explicit consent.

Hakira may retain User Content in workspaces for up to 30 days following the last assessment session, after which it may be automatically deleted. You are responsible for maintaining your own copies of all User Content.

7. Assessment Reports & Findings

Security assessment reports and findings generated through the Services ("Reports") are provided for your internal use. You acknowledge that:

  • Reports contain AI-generated analysis and may include false positives or miss certain vulnerabilities
  • Reports are not a substitute for comprehensive, professional security audits where required by regulation or compliance standards
  • You are solely responsible for verifying findings and determining appropriate remediation actions
  • Hakira does not guarantee that all security vulnerabilities will be identified
  • Reports should not be treated as professional security advice, legal advice, or a certification of your system's security posture

8. Third-Party Integrations

The Services may integrate with or rely on third-party platforms and services, including but not limited to GitHub, cloud providers, and payment processors. Your use of such integrations is subject to the respective third-party terms of service. Hakira is not responsible for the availability, accuracy, or performance of third-party services.

When you connect third-party accounts (e.g., GitHub repositories), you authorize Hakira to access your data on those platforms solely to the extent necessary to provide the Services. You may revoke this access at any time through your account settings or the third-party platform.

9. Intellectual Property

All rights, title, and interest in and to the Services, including the Hakira platform, AI models, methodologies, tools, software, documentation, and branding, are and shall remain the exclusive property of Hakira and its licensors.

These Terms do not grant you any right to use Hakira's trademarks, logos, or brand features without our prior written consent. Nothing in these Terms transfers any intellectual property rights to you, except the limited license to use the Services as described herein.

10. Confidentiality

Hakira treats all User Content and assessment findings as confidential. We will not disclose your User Content, Reports, or findings to third parties except:

  • With your explicit written consent
  • As required by applicable law, regulation, or legal process
  • To our employees, contractors, or service providers who need access to perform the Services, subject to confidentiality obligations

You agree to keep confidential any non-public information about Hakira's proprietary methodologies, tools, or techniques that may be disclosed to you during the course of the Services.

11. Data Protection

Our collection, use, and processing of personal data is governed by our Privacy Notice, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Notice. If you are submitting personal data of third parties (e.g., as part of a codebase), you represent that you have the necessary authority and consent to do so.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HAKIRA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, HAKIRA DOES NOT WARRANT THAT:

  • The Services will be uninterrupted, error-free, or secure
  • Security assessments will identify all vulnerabilities in your systems or code
  • AI-generated findings, recommendations, or reports will be accurate, complete, or free from false positives or false negatives
  • The Services will meet your specific requirements or expectations
  • Any remediation guidance provided will fully resolve identified vulnerabilities

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAKIRA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

HAKIRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO HAKIRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Without limiting the above, Hakira shall not be liable for any security breach, data loss, or exploitation of vulnerabilities in your systems, whether or not such vulnerabilities were identified or missed during an assessment performed through the Services.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hakira and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any User Content you submit; or (e) your use of assessment findings or Reports in a manner not authorized by these Terms.

15. Termination

You may stop using the Services and close your account at any time. Hakira may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms.

Upon termination: (a) your right to use the Services will immediately cease; (b) any outstanding credits will be forfeited unless a refund is required by applicable law; (c) Hakira may delete your account data, workspaces, and associated content in accordance with our data retention policies. Sections 7, 9, 10, 12, 13, 14, and 17 of these Terms shall survive termination.

16. Modifications to Terms

Hakira reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Website and updating the "Last updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the parties are unable to resolve the dispute within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction, as permitted by applicable law.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Notice and any applicable engagement agreements, constitute the entire agreement between you and Hakira regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Hakira's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without Hakira's prior written consent. Hakira may assign these Terms without restriction.
  • Force Majeure: Hakira shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, or disruptions to internet services or third-party infrastructure.
